These booking Terms and Conditions (“Terms”) apply to the booking of TVS Auto Bangladesh Ltd vehicles listed on the Book Online section and form a legally binding agreement under the Information Technology Act, 2000, as amended, between You and TVS Auto Bangladesh Ltd, a company incorporated under the Companies Act, 1994, (Registration Number: 117773/14).

For the purpose of these Terms, wherever the context so requires “You/your” will mean any person who has agreed to place the Booking of any TVS vehicle through the website. The term “We/Us/Our” will mean TVS Auto Bangladesh Ltd (TVS ABL).

1.Booking:

By placing a booking with Us, You express your intention to purchase the vehicle specified by you (“Vehicle”) and agree to be bound by these Terms. Your purchase of the Vehicle and delivery by us will be subject to your compliance with the Terms hereunder and other applicable laws, regulations and guidelines. Booking is subject to availability of the chosen vehicle at dealership.

2.Booking and Full Payment Amounts:

• The booking Amount of BDT 5000 shall be paid by you through the link provided on this Site. This shall be a non-interest bearing and will confirm your booking. The same shall be construed as an offer from your end and shall be adjusted against payment of the final Vehicle price by you. Upon the receipt of the amount in the Bank Account of TVS ABL, we shall communicate the acceptance of the Booking, however, the acceptance of the Booking does not be construed as completion of the sale of the TVS vehicle as it is subject to the payment of balance amount, documentation requirements and terms and conditions.

• You will receive a payment confirmation for booking via SMS/email. You can also share your transaction ID with the dealership/ TVS showroom to share status of the booking payment. You will be contacted by the Dealership/ TVS showroom to complete the invoicing process.

3.Price of the TVS Vehicle:

• The Price displayed on the vehicle displayed, if any, on the website of TVS ABL is only the ex-showroom price of the vehicle. The On-Road price is subject to road tax, accessories charges etc., The final Vehicle price is the prevailing price as applicable on the date of intimation regarding final Vehicle payment. The balance sale price (i.e. balance sale consideration) shall be paid directly to the dealer(s) notified by TVS ABL.

• Ex-showroom price is indicative and may vary at the time of purchase. Ex-showroom price is inclusive of taxes. Additional accessories will need to be purchased at the dealership. On-road price includes insurance, registration and road tax. This has to be paid at the dealership. You may request for receipts for the same from the dealership

• Please take note that TVS ABL is only receiving the Booking Amount as a facilitator to promote the sale between the TVS ABL dealer/ showroom and You. The actual transaction of the sale is a contract between you and the TVSM Dealer/ TVS showroom with whom you shall be making the payment of balance sale price.

• TVSM shall not be responsible for any non-receipt of the Booking Amount to the Bank Account of TVS ABL due to technical or other reasons in the payment gateway or banking network issues

4.Finance:

• Once you apply for finance, from that point, you will be governed by the T&C’s of the financier. Please refer to the T&C’s of the financier before proceeding

• All information collected are as per the requirements of the financier

• All documents and information will be passed on to the financier and will not be stored by TVS ABL.

• TVS ABL is not responsible for any actions by the financier.

5.Delivery Schedule:

We/our dealer/showroom will communicate the estimated delivery period for Your Vehicle and will make all commercially reasonable efforts to deliver Your Vehicle within the specified delivery period by the dealer/showroom notified by us. Any change or delay in the delivery period will be notified to you by us/our dealer. We will not be liable for any claims, damages, losses, costs or expenses incurred/suffered by You due to delay in delivery of the Vehicle by Us. However, in the event of any delays, you may cancel and claim a refund of Your Pre-Order Amount in accordance with these Terms.

6.Cancellation/Refund:

• Refunds on booking amounts will be made within 60 days from the date of cancellation.

• This amount is refundable till the point of making the full payment for purchasing the vehicle.

• Please note that once the full payment for the vehicle, including the accessories, has been made, the sale shall be deemed as complete, and cancellation or claim for any refund amount will not be possible.

7.Assignment or Transfer:

You acknowledge and agree that your booking is for delivery of Vehicle only to you and You may not transfer or assign rights granted to You under these Terms to any third party.

8.Collection of Information:

We may require certain information and documents from you for processing Your booking, complying with statutory requirements, and/or conducting a site inspection for installation of the Vehicle charging station. You represent and warrant that all such information and documents will be true, complete and accurate. You will promptly notify us of any change in the information provided to allow us to update our records. All collection, storage, use and disclosure of any information provided by you will be in accordance with Our Privacy Policy available at https://tvsabl.com/privacy-policy/.

9.Territory:

The Vehicle is available for booking or sale in such territories as may be designated by us. You may not place a Booking for delivery of the Vehicle outside these territories.

20.Purchase Terms:

These Terms are applicable to the Booking of the Vehicle. You acknowledge that purchase of Vehicle will be subject to such additional terms and conditions as may be prescribed by Us including without limitation, the TVS General Terms and Conditions (collectively, the “Purchase Terms”). Such Purchase Terms are subject to change, and we recommend that you carefully read and understand all the prescribed Purchase Terms before proceeding with the purchase of the Vehicle and making the full payment.

11.Limitation of Liability:

We will not be liable for any indirect, special, incidental or consequential damages arising out of or in connection with these Terms. Your sole and exclusive remedy and our aggregate and cumulative liability for any material breach under these Terms will be limited to refund of the Booking Amount in the amount of valid cancellation.

12.Disclaimer:

The Vehicle will in all material aspects be similar to the Vehicle presented or advertised in marketing or promotional campaigns. However, in view of our endeavors to continuously innovate and improve our products, we reserve the right to modify or alter the specifications, features and/or design of the Vehicle without prior notice and any liability.

13.Miscellaneous:

• We will not be responsible for any delay or failure to perform our obligations under these Terms, where such delay or failure is due to any reasons beyond our reasonable control.

• In the event any of these Terms is held invalid or unenforceable, the legality and enforceability of remaining provisions will not be affected or impaired thereby. These Terms will be subject to the laws of India and any dispute hereunder will be subject to the exclusive jurisdiction of courts at Bangalore.
